Policies & Principles

The basis for every decision we make at P&G can be found in our Purpose, Values and Principles. Every employee and non-employee director is also required to understand, and agree to adhere to, the Worldwide Business Conduct Manual (PDF). Portions of the Worldwide Business Conduct Manual comprise P&G's Code of Ethics for SEC and New York Stock Exchange Regulatory Purposes, as further described in the Manual.

P&G Who Is behind Governance at P&G?

The Board of Directors
The Board of Directors at P&G consists of men and women who are leaders in the fields of business, government, law, medicine and education. To learn more about our Board, see the Board of Directors' Biographies (PDF).

The Board has adopted guidelines to determine the independence (PDF) of its members.


Committees
To help the Board effectively and efficiently fulfill its responsibilities, four committees deal with specific topics facing the company.

Committee Charters
Each of the four committees has its own charter that details its purpose, duties and responsibilities.

The Committee Charters are reviewed regularly to make sure they are consistent with the needs of the business and the expectations of the Board.

Each committee also adheres to the Committee Charters Appendix for items common to all of the committees.


Auditor Independence
The Audit Committee has two important guidelines to help ensure the independence of the company's auditors.

The Guidelines for Preapproval of Independent Auditor Services is designed to ensure that the Independent Auditor does not perform a service that could cloud its independent judgment.

The Guidelines for Hiring of Former Auditor Employees helps ensure that no individual working for the auditor is influenced by a future employment opportunity.
Officers & Executives
The senior management of P&G consists of a diverse group of talented individuals from across the globe. Learn more about P&G's Corporate Officers.

Senior Executive Waivers, Trades and Transactions
When a senior executive has received a waiver of a policy expressed in the company's Worldwide Business Conduct Manual, it will be publicly reported on PG.com at the link above.

In addition, when a senior officer or a board member executes a stock transaction, we are required to notify the U.S. Securities and Exchange Commission (SEC). For a recent listing of those notifications, please click here.
